ABOUT MONTICELLO DRUG COMPANY

Monticello Drug Company (MDC) sells over-the-counter Healthcare and personal care products predominantly in the USA domestic marketplace. MDC’s 10 principal brands accounted for 100% of its net revenues during the fiscal year ended June 30, 2008 (fiscal 2008). The Company’s products are sold through multiple channels, including mass merchandisers and drug, grocery, dollar and club stores, which allow it to launch products across all distribution channels and reduce its exposure to any single distribution channel.

We have grown our company by acquiring strong and well-recognized brands from larger pharmaceutical companies. We believe that these brands were considered non-core under previous ownership and, in most cases, did not benefit from the focus of senior level management or strong brand support. Our management has taken advantage of this opportunity by providing each acquired brand with the marketing support and attention necessary to enhance the brand's market position, expand its distribution and successfully managing each line effectively.

CURRENT POSITION IN INDUSTRY

Monticello Drug Company, over one hundred years young, was founded by T.S. Roberts, a pharmacist who worked hard in the day, and just as hard at night to discover a cure for the common cold.  He was the only person in Monticello’s history to actually invent products.  The 666® Cold Formulas, 666® Quinine Formula for malaria, and 666® Nasal Salve were his creations.  Since his death in 1946, Monticello Drug Company has grown by advertising and promoting these products.  In the last twenty years, Monticello Drug Company has changed directions and has executed a number of acquisitions to promote growth. Although the 666® products are still being manufactured and sold successfully, the newer acquisitions are now the bulk of our gross sales.  As the billion dollar drug companies continue to grow and create new drug lines, it has become a financially mature decision for them to divest themselves of their smaller “over the counter” drug lines.  This process of creating relationships and working with the larger drug companies to acquire drug lines within our capability of proper management is the current focus of Monticello Drug Company. Monticello Drug Company owns all of the registered trademarks of its product brands.  Our fourth generation, private, family-owned and operated company ensures a focus on long term goals for a continued commitment to customer satisfaction.

FUTURE POSITION IN INDUSTRY

The management of Monticello Drug Company has made a firm commitment to growing internally through acquisitions.  As management has matured, computer capabilities have expanded exponentially, and our relationships with manufacturing corporations, distribution corporations and various marketing organizations have deepened; we have not been financially able to grow fast enough.  Thus another new direction for Monticello Drug Company will be to partner with financial investors to create “partner companies” to more fully utilize our real potential.  These partner companies will enable us to acquire larger drug lines, to expand faster than we could merely on our own, and utilize the strength of our skill sets and relationships within our industry.  Our financial investors and partner companies will enjoy the freedom of running a new company, yet they will have the power of Monticello Drug Company’s long history with the trade and our tested skills.  The return on investment within the pharmaceutical industry has been long substantiated, and due to the current economical conditions of our country, we truly believe the timing is perfect for our investors to benefit from the proven track record of acquiring old brands and breathing life into them.

MARKETING

MDC has partnered with Lee Pharmaceuticals located in South El Monte, California to assist in marketing MDC’s products domestically through various distribution channels. By utilizing the collective talents of both companies and capitalizing on the economies of scale, MDC has successfully cut manufacturing costs and improved the bottom line profits through cooperation with Lee Pharmaceuticals.

MANUFACTURING

MDC contracts various FDA registered establishments to include mixing, processing, packaging and laboratory/analytical testing services as needed for individual products. Our purchasing/production management team works closely with all vendors to ensure that all purchasing needs are met so as to ensure that production schedules are adhered to, eliminating out of stock situations. Our regulatory affairs management team works closely with all vendors to ensure that all products meet specifications related to safety, identity, strength, quality, purity as well as physical product characteristics and labeling or packaging.
